These Terms and Conditions ("Agreement") govern the services provided by masterofnone ("masterofnone") to its clients ("Client"). By engaging with masterofnone for creative services, the Client agrees to be bound by the following terms.
1. Revisions and Scope of Work
1.1 Minor Revisions
Revisions are defined as minor changes to the project, typically taking no more than 30 minutes to complete. These revisions must align with the concept previously discussed and agreed upon by both the Client and masterofnone staff.
1.2 Major Changes and Re-Shoots
Changes that alter the core concept of the project, including re-shoots, re-designs, or significant alterations, are not considered minor revisions. Such changes will incur additional charges and may affect the project timeline.

1.3 Submission of Revisions
The Client must submit any revision requests within 5 business days of receiving the project files. If no revision requests are submitted within this period, the project will automatically be considered closed. Any further revisions after this period will incur a revision fee and may affect the timeline for additional edits.
2. Payment Terms
2.1 Deposit and Payment Structure
All projects require a 50% deposit or full payment upfront. The deposit confirms the booking of masterofnone and the commencement of the project.
2.2 Final Payment
If the Client opts for the 50% deposit option, the remaining 50% of the project fee will be due at the end of the shoot for the agreed-upon materials. If the shoot spans multiple days, the remaining 50% will be due at the end of the first day of the shoot. The final payment must be made in full before any files are delivered.
3. Delivery and Timeline
3.1 Delivery of Final Files
Upon receipt of all project files and payment, masterofnone will deliver the final project materials within 5 business days. The 5-business-day delivery period begins the next business day after the completion of the shoot. If the shoot takes place after 5 pm, the project timeline will be considered to start the following business day.
3.2 Expedited Edits
Expedited editing may be requested, subject to availability and additional charges. Expedited edits are not guaranteed and will depend on masterofnone’s schedule.
4. Project Kickoff and Communication
4.1 Initial Meeting
All projects require an initial meeting between the Client and masterofnone to discuss project goals, creative concepts, ideas, and reference materials provided by the Client. This meeting is essential for managing expectations and ensuring that both parties are aligned on the scope of the project.
4.2 Client Responsibilities
The Client agrees to provide clear and timely feedback, references, and any necessary materials required for the project. Failure to do so may delay the project timeline.
5. Cancellation and Refunds
5.1 Cancellation by Client
If the Client cancels the project after a deposit has been paid but before the work begins, the deposit is non-refundable. If the project is canceled after work has commenced, the Client will be responsible for paying for any work completed up to the point of cancellation, including any applicable additional charges.
5.2 Cancellation by masterofnone
masterofnone reserves the right to cancel or reschedule any project for reasons including, but not limited to, illness, emergencies, or unforeseen circumstances. In the event of cancellation by masterofnone, the Client will be entitled to a full refund of any payments made.
6. Copyright and Ownership
6.1 Ownership of Work
Upon receipt of full payment, the Client will own the final deliverables produced for the project. masterofnone retains the right to use the work for promotional purposes, including portfolio and social media, within an acceptable timeframe, but not before the project is officially released by the Client. The exact timing of when the work can be used for promotional purposes will be mutually agreed upon, ensuring it aligns with the Client’s release schedule.
6.2 Intellectual Property
masterofnone retains the copyright of any original concepts, designs, or materials created during the project that are not part of the final deliverables. The Client is granted a non-exclusive license to use the final deliverables for their intended purpose.

6.3 File Retention and Deletion
Once project closure is confirmed, masterofnone will typically delete all project files from local and cloud storage within a calendar week. The Client is responsible for ensuring that all final deliverables are backed up. masterofnone is not liable for any loss of files or data if the Client has not taken the necessary steps to secure backups of their files.
7. Liability and Indemnification
7.1 Limitation of Liability
masterofnone is not liable for any indirect, incidental, or consequential damages arising from the use of its services, including but not limited to lost profits, business interruption, or loss of data.
7.2 Indemnification
The Client agrees to indemnify and hold masterofnone harmless from any claims, damages, liabilities, or expenses arising from the Client’s use of the deliverables, including any third-party claims for infringement of copyright or intellectual property.
8. General Provisions
8.1 Amendments to Terms
masterofnone reserves the right to update or amend these Terms and Conditions at any time. Any changes will be communicated to the Client and will apply to any new projects commenced after the change.
8.2 Governing Law
This Agreement will be governed by and construed in accordance with the laws of the state of Texas, without regard to its conflict of law principles.
8.3 Severability
If any provision of this Agreement is deemed invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.
9. Acceptance
By engaging with masterofnone for creative services, the Client acknowledges and agrees to these Terms and Conditions. masterofnone’s provision of services will be considered confirmation of the Client’s acceptance of these terms.
